## Record

Meeting: Hamilton Renewable Power Inc. Shareholder
Date: Monday, August 31, 2026
Item: MOTION,
Result: Carried 14-0

## Report

Hamilton Renewable Power Inc. is a wholly owned municipal corporation of the City of Hamilton responsible for converting biogas generated at the Woodward Wastewater Treatment Plant and the Glanbrook Landfill into renewable energy. The report was prepared to seek Sole Shareholder authorization to enter into a forgivable loan agreement with the City of Hamilton in an amount not to exceed $1,500,000 to support the corporation's operations and implementation of the Board-approved transition strategy.

The report stated there are no legal impediments associated with entering into the proposed forgivable loan agreement, subject to the agreement being finalized in a form satisfactory to the corporation’s solicitor. It also stated that the Sole Shareholder could direct HRP Inc. to enter into a repayable loan agreement rather than a forgivable loan agreement.

The motion, as recorded in the minutes:

```
